1. Parties & Scope

These Terms apply to all proposals, estimates, contracts, services, and website use provided by Mobley Construction & Remodeling LLC, located at 8131 Indiana Avenue, Kansas City, MO 64132. References to "Client", "you" or "your" mean the individual or entity that contracts for services with the Company.

2. Estimates, Proposals & Contracts

• Estimates & Proposals: Estimates provided are approximate and based on information available at the time. Final pricing is confirmed in a written contract.
• Written Contract: A signed written contract or work order is required before work begins. The contract will describe the scope, schedule, payment terms, and other project-specific terms.
• Changes: Any change to the scope of work must be agreed in writing (change order) and may affect price and schedule.

3. Payments & Fees

• Deposit: A deposit may be required to schedule work. The amount will be stated in the contract.
• Progress Payments: For larger projects, progress payments may be requested at agreed milestones.
• Final Payment: Final payment is due upon completion of work and acceptance by the Client, unless otherwise provided in the contract.
• Late Payments: Late payments may incur interest, collection costs, and suspension of work.

4. Project Schedule & Site Access

• Scheduling: Project start and completion dates are estimates. We will make reasonable efforts to meet schedules but are not liable for delays caused by weather, supply shortages, labor issues, permitting, or other events beyond our control.
• Site Access: Client shall provide safe and timely access to the work site and disclose known hazardous conditions and utilities.
• Permits: Unless otherwise specified, obtaining required permits is the responsibility of the Client; the Company may assist and pass through permit fees.

5. Client Responsibilities

• Provide necessary decisions, approvals, and access on a timely basis.
• Remove valuables and personal items from the work area or arrange for their protection.
• Notify the Company of any special site conditions, restrictions, or requirements prior to start of work.

6. Warranties & Limitations

The Company warrants that workmanship will conform to the contract and generally accepted construction standards for a period specified in your project contract (the "Warranty Period"). Warranty claims must be made in writing within the Warranty Period. This warranty does not cover normal wear and tear or damage caused by misuse, neglect, alterations by others, or acts of God.

7. Liability & Disclaimer

To the fullest extent permitted by law, Mobley Construction & Remodeling LLC's liability for any claim arising from or related to the contract or services shall not exceed the total contract price. We are not liable for incidental, consequential, indirect, special, or punitive damages, including lost profits.

8. Insurance

The Company maintains general liability and workers' compensation insurance as required by state law. Certificates of insurance may be provided upon request.

9. Termination & Cancellation

• By Client: Client may cancel prior to the start of work subject to any non-refundable deposits or cancellation fees stated in the contract.
• By Company: The Company may suspend or terminate work for Client's failure to pay, provide access, or otherwise breach the contract. The Company will provide written notice when practical.

10. Intellectual Property

All project designs, plans, drawings, and documents prepared by the Company are its intellectual property unless otherwise assigned in writing. Client may use such documents for the specific project only and may not reproduce or distribute them without permission.

11. Privacy

Use of personal information is governed by our Privacy Policy. By contracting with us, you consent to the collection and use of personal information as described in that policy. For our privacy terms, see Privacy Policy.

12. Indemnification

Client agrees to indemnify, defend and hold harmless Mobley Construction & Remodeling LLC and its officers, employees, and agents from and against all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from Client's breach of these Terms, negligence, or willful misconduct.

13. Dispute Resolution & Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflicts of law principles. Parties agree to attempt to resolve disputes in good faith through negotiation. If disputes cannot be resolved, they shall be submitted to the state or federal courts located in Jackson County, Missouri, unless the contract specifies alternative dispute resolution such as arbitration.

14. Force Majeure

The Company is not liable for delays or failures in performance resulting from events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, acts of government, strikes, shortages, or delays in supply.

15. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms, together with any signed contract, proposal, or work order, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements, whether written or oral.
